The contents of our Sites are protected by copyright and trademark laws, and are the property of their owners. Unless otherwise noted, you may access and use the information and materials within the Sites for your personal use. You are restricted from changing, modifying, deleting, displaying, transmitting, adapting, exploiting, or copying for distribution or otherwise use any information, material, trademark, or copyright on the Sites for any public or commercial purpose. You must obtain written permission from us or any other entity who owns intellectual property on the Sites before you may publish, distribute, display, or commercially exploit any material from the Sites. If you breach any of these Terms, your authorization to use the Sites will automatically terminates without any further notice. All laws of intellectual property rights, such as copyright, trademarks, protect the material on the Sites. Any unauthorized use will violate these laws. You agree to indemnify, defend and hold harmless Sigma Process Inc., its affiliates, officers, directors, employees, agents, suppliers and third party partners from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees and expenses, resulting or arising from, or incurred in connection with, any violations by you of these Terms.
Except your personal information, which is discussed below, any material information or other communication you transmit or post to the Sites will be considered as non confidential and non-proprietary (hereinafter referred to as “Communications”). We will have no obligations with respect to the Communications. We will be free to copy, disclose, distribute, incorporate and otherwise use the Communications and all data, images, sounds, text, and other things embodied therein for any and all commercial or non-commercial purpose. You are not prohibited from posting or transmitting to or from the Sites any unlawful, threatening, libelous, defamatory, obscene, pornographic or other material what would violate any law.
A “forum” means any message board, chat room, user review forum or other interactive service appearing on any of the Sites and includes both public boards and private folders. You must register in accordance with instructions that you will find on the Sites in order to contribute to any forum.
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials (hereinafter referred to as the “Content”), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not Sigma Process Inc., are entirely responsible for all Content that you post, or otherwise make available via the Forum. We do not control the Content posted via the Forum and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Forum, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will we be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content made available via the Forum by any means.
You agree to not use the Forum to:
- upload, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable;
- harm minors in any way;
- impersonate any person or entity, including, but not limited to, a Sigma Process Inc staff, or falsely state or otherwise misrepresent your affiliation with a person or entity;
- upload, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
- upload, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
- upload, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation,
- upload, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
- interfere with or disrupt the Forum or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Forum; or
- intentionally or unintentionally violate any applicable local, provincial, national or international law.
We retain the right to modify or remove any Content or other material that we, in our sole discretion, consider infringing, offensive, abusive, defamatory, obscene, stale, or otherwise unacceptable. We also reserve the right to edit any Content for any other reason. Whether or not we modify or remove such Content, you remain solely responsible for the Content of their messages or postings. By posting on the Sites, you grant (or warrant that the owner of such rights has expressly granted) us and/or relevant affiliated companies the worldwide, perpetual, nonexclusive right to use your questions, comments, and postings, in their original or edited form, in television programs, books, articles, commentaries, or in any other medium now known or later developed. You also warrant that you own or otherwise control all of the rights to the Content and that the public posting and use of such content by us will not infringe the rights of any third party. Additionally, you warrant that any “moral rights” in the Content have been waived. You are not entitled to any compensation for any Content you may post on the Sites.
We may, at our discretion, suspend or terminate the registration of any forum user or general user who violates any of these Terms, any of the forum member guidelines or for any other behavior, that we in our discretion believe is inappropriate.
The information, services, products, claims, seminar topics, and materials on our Sites are provided “as is” and without warranties of any kind, either expressed or implied, including all implied warranties of merchantability, fitness for a particular purpose, non-infringement or other violation of rights. We disclaim all warranties, expressed or implied, including but not limited to implied effectiveness of the ideas or success strategies listed on this site as well as those that are provided in our products or to our participants at our events. The only exception is the guarantees of satisfaction and graduation that are clearly labeled guarantees within our Sites. Neither we nor any of our respective licensors or suppliers warrant that any functions contained in the Sites will be uninterrupted or error-free, that defects will be corrected, or that the Sites or the server that makes them available are free of viruses or other harmful components. Neither we nor any of our respective licensors or suppliers warrant or make any representations regarding the use or the results of the use of the services, products, information or materials in this site in terms of their correctness, accuracy, reliability, or otherwise. You (and not we or any of our respective licensors or suppliers) assume the entire cost of all necessary servicing, repair or correction to your system. Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not apply to you. We do not endorse, warrant or guarantee any speakers, products or services offered on the Sites or those we link to. We are not a party to, and do not monitor, any transaction between users and third party providers of products or services.
Limitation of Liability
Under no circumstances, including but not limited to negligence, will we or any of our licensors or suppliers or other third parties mentioned at the sites be liable for any damages whatsoever (including, without limitation, those resulting from lost profits, lost data or business interruption) arising out of the use, inability to use, or the results of use of, the materials or information on the Sites, or any products or services provided pursuant to the Sites, whether based on warranty, contract, tort or any other legal theory and whether or not advised of the possibility of such damages. If you sue of the materials or information from the Sites results in the need for servicing, repair or correction of equipment or data, you assume all costs thereof. Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages (including but not limited to lost data), so the above limitation or exclusion may not apply to you. In no event shall the total liability to you by us or any of our licensors or suppliers for all damages, losses, and causes of action (whether in contract, tort, or otherwise) exceed the amount paid by you to us, if any, for accessing the Sites.
Under no circumstances will we be held responsible or liable, directly or indirectly, for any loss or damage that is caused or alleged to have been caused to you in connection with your use of any advice, goods or services you receive from a guest speaker on our Sites or at one of our events.
We are also not responsible or liable for any loss or damage that is caused or alleged to have been caused to our guest speakers in connection with the display of their photo, name, or biography posted on our Sites or in our marketing materials.
